JAMSHOPPING Partner Terms of Use
These JAMSHOPPING Partner Terms of Use (hereinafter referred to as "these Terms") apply to the relationship between JAMSHOPPING Inc. (hereinafter referred to as "our company") and website partners that display merchant advertisements in "JAMSHOPPING Affiliate" (hereinafter referred to as "the Service"), an affiliate service provided by our company.
Article 1 (Definitions)
The terms used in this Agreement are defined as follows: "JAMSHOPPING Partner" refers to a party who uses this Service to attract visitors to the Merchant's site by posting advertisements designated by the Merchant on their own website, and who, in return, receives a commission through our Company by achieving the performance conditions set by the Merchant.
"JAMSHOPPING Partner Site" refers to an online website (including email and apps) that a JAMSHOPPING Partner manages and operates and that is registered with the Service.
"Merchant" refers to a party who applies for this service in a manner specified by our company and intends to direct visitors to the merchant site by posting their own advertisements on JAMSHOPPING partner sites.
"JAMSHOPPING Partner Merchant Site" refers to a website managed and operated by a Merchant that provides its own products and services. "Visitor" refers to a person who views a Merchant's advertisement posted on a Partner Site and moves from the Partner Site to the Merchant Site via a link in the advertisement.
"Administration Screen" refers to the Partner-only web page provided by the Company to the Partner in the Service on which the Partner can select the advertising they wish to collaborate with and check the terms of performance-based compensation, etc.
"Partnership" means that a JAMSHOPPING Partner applies to a merchant for the advertisement they wish to display through an individual advertisement (affiliate program) introduced on the administration screen of the Service, and the merchant approves the advertisement display etc. of the JAMSHOPPING Partner that made the application.
"Results" refers to the results of a Visitor viewing a Merchant's advertisement posted on a JAMSHOPPING Partner Site and taking an action such as purchasing a product or registering as a member on a Merchant Site or other such site that is eligible for the payment of a performance-based fee, and which are recorded in the Service.
Article 2 (Service)
1. This service provides a mechanism for merchants to post advertisements designated by the merchant on JAMSHOPPING partner sites, and when a visitor clicks on the advertisements and makes a purchase or registers as a member, the merchant pays a reward based on the results of the advertisement to the JAMSHOPPING partner through our company.
2. JAMSHOPPING Partners will be able to check information such as the type of advertisement, the amount of commission, and the status of advertisement posting on a dedicated JAMSHOPPING Partner management screen provided by the Company on the Internet.
Article 3 (Types of performance-based compensation)
There are the following types of performance-based compensation, and it is up to the JAMSHOPPING Partner to choose which compensation method will be used. Click-based compensation is paid to the JAMSHOPPING Partner according to the number of times an advertisement etc. on the JAMSHOPPING Partner site is clicked. However, if the same visitor clicks more than twice in one day, it will be counted as one click. Flat-rate compensation is paid to the JAMSHOPPING Partner according to the number of times a visitor who accesses the merchant site by clicking on an advertisement etc. on the JAMSHOPPING Partner site takes a certain action on the merchant site specified by the merchant, such as requesting information, registering as a user or applying. Sales-based compensation is paid to JS Partner according to the price of a product or service if a visitor who accesses the merchant site by clicking on an advertisement etc. on the JAMSHOPPING Partner site purchases the applicable product or service on the merchant site.
Article 4 (Registration for the Service, Accounts, and Prohibition of Multiple Accounts)
1. Anyone who wishes to become a JAMSHOPPING Partner must accurately fill in all application details specified by our company and apply for registration in this Service.
2. When an application as described in the preceding paragraph is received, the Company will conduct the necessary screening, decide whether or not to approve the registration, and notify the result by email. If you receive a notification that your registration is approved, you will be issued an account with the authority to access the Service, and you will be able to participate in the Service as a JAMSHOPPING Partner.
3. Our company may not approve the registration of a person who wishes to become a JAMSHOPPING Partner if the person falls under any of the following reasons. Furthermore, even after our company's approval, we may cancel the registration in accordance with the provisions of these Terms and Conditions if the person is found to fall under any of the following reasons: If the person is under 18 years of age If the person's registration for this service has been cancelled in the past If there is a significant falsehood in the registration information If the person offers adult-related products or services If the person is involved in pyramid schemes, multi-level marketing, network businesses, etc. If the person engages in illegal or anti-social activities If the person operates a religious corporation If the person is selling unreasonably expensive products or information products, etc. If the person is otherwise deemed inappropriate by our company.
4. If the website operated by a person who wishes to become a JAMSHOPPING Partner falls under any of the following reasons, we may not approve the registration. Furthermore, even after approval by our company, if the website is found to fall under any of the following reasons, we may cancel the registration in accordance with the provisions of these Terms. If it contains obscene or adult-related language or content If it contains language or content that may infringe copyright, trademark rights, famous domains or other intellectual property rights If it contains language or content that may slander or disrupt business, or that may infringe on rights such as reputation, privacy or portrait rights If it is involved in or introduces information about pyramid schemes, multi-level marketing or network businesses If it is a gambling site or a site related to gambling (excluding publicly run racing, public lotteries or legal games) If it contains language or content that violates relevant laws, ordinances, industry regulations, etc. or is illegal or anti-social If it has been designated as an illegal or harmful site by the National Police Agency, an organization related to the National Police Agency, or a contractor of the National Police Agency If it contains language or content that goes against public order and morals If it contains religion-related language or content If it is intended for use only by specific individuals, such as family and friends If it is not publicly available, such as requiring an ID and password to access If the content is sparse or is deemed unknown If there is an excessively large number of links to sites that fall under any of the items in this section If the site is otherwise deemed inappropriate by our company
5. If any of the following circumstances apply to a JAMSHOPPING Partner Site, we will not be able to accept the validity of the JAMSHOPPING Partner Site's registration with the Service as is, and the registration will need to be approved again. If the JAMSHOPPING Partner does not go through the approval procedure again, we may take measures in accordance with the preceding paragraph. If there are significant changes to the content of the JAMSHOPPING Partner Site If the domain used at the time of registration is changed
6. As part of measures to prevent fraudulent activities, the Service prohibits the same person or company from obtaining multiple accounts unless the Company has given prior consent. If the use of multiple accounts is permitted, the Company reserves the right to take measures to suspend such use without prior notice to JS Partner.
Article 5 (Partnership with Merchants)
1. JAMSHOPPING Partners will select the advertisements (affiliate programs) they wish to display on the JAMSHOPPING Partner Site on the administration screen.
2. When wishing to partner with a merchant, you must first confirm the type of advertisement, the amount of commission, the terms of use, and any prohibited matters listed on the management screen before applying for a partnership. The amount of commission listed on the management screen includes consumption tax, in principle.
3. When a JAMSHOPPING Partner applies for a partnership and the Merchant approves it, the partnership for advertising will be established and the JAMSHOPPING Partner will be able to post advertisements in accordance with the Merchant's standards. Furthermore, the JAMSHOPPING Partner shall acknowledge in advance that the types of advertisements, the amount of performance compensation, posting conditions, prohibited matters, and other conditions may be changed at the Merchant's discretion. Furthermore, even if the Merchant rejects the partnership or the Merchant terminates the partnership, the JAMSHOPPING Partner shall not be able to raise any grounds or objections for the above.
4. The Company and Merchants may rank the reward settings (hereinafter referred to as "Ranking") based on the content, type, nature, and track record of results of each JAMSHOPPING Partner Site based on their own criteria. In addition, if the Company determines that there has been a violation of these Terms and Conditions, the ranking may be revised retroactively. JAMSHOPPING Partners may not request the disclosure of the reasons for rankings.
Article 6 (Subject, Approval and Confirmation of Results)
1. The target of the performance in this service is the target of the performance of advertising that is recorded on the server of this service by the action that generates the performance reward such as the purchase of the product, the request for information, the membership registration, the click of the advertisement, the telephone call, etc., as specified by the merchant. In the unlikely event that the recording is not made due to a natural disaster or other reason beyond the reasonable control of our company, the target of the performance will be determined based on the data declared by the merchant or JAMSHOPPING partner.
2. The approval process for the results will be finalized by the Merchant (or by our company if the Merchant delegates the approval) making a decision to approve or reject each individual result.
3. The approval criteria for results will be determined at the discretion of the Merchant, and JAMSHOPPING Partners may not request the Merchant or our company to disclose such approval criteria or to provide reasons for rejection, etc.
4. The Company shall pay rewards to JAMSHOPPING Partners based on the results confirmed under this Article.
Article 7 (Payment method for performance-based rewards)
1. The Company shall pay to JAMSHOPPING Partners the amount of the commission calculated through the approval process of the results as set forth in the previous article. Unless otherwise specified, the amount of the commission presented to JAMSHOPPING Partners is inclusive of consumption tax.
2. Payment of commission shall be made on the transfer date after the payment application. However, if the monthly commission amount is less than 3,000 yen (2,700 yen excluding tax if the consumption tax rate is 10%), the Company shall withhold payment until the cumulative amount reaches 3,000 yen.
3. JAMSHOPPING Partners who receive performance-based commissions must notify us in advance of a bank account in their own name (however, overseas bank accounts are not eligible) as the transfer destination in the prescribed manner. We will pay the requested performance-based commission amount by bank transfer to the bank account at the financial institution notified by the JAMSHOPPING Partner on the last day of the month following the month in which the performance is confirmed. In this case, the transfer fee will be borne by us. Furthermore, if the payment date falls on a bank holiday, the payment will be made on the following business day.
4. If the JAMSHOPPING Partner who receives the payment of the performance fee has not notified the financial institution of the account by the 24th of the month prior to the payment date, if the notified financial institution account information is incomplete or missing, or if it is found to be a non-existent account, or if it is notified in a manner other than as specified, the Company may withhold the payment of the performance fee. In addition, the Company will request the JAMSHOPPING Partner to register and notify the correction of account information that can be transferred in a specified manner. Therefore, if the JAMSHOPPING Partner notifies the Company of the account information, the Company will transfer the performance fee on the next payment date (usually the last day of the following month (if the information is notified between the 25th and the last day of the month, the last day of the month after that)). If the JAMSHOPPING Partner does not notify the account information even after the Company's urging, the Company will withhold the payment of the performance fee as the transfer is not possible.
5. If we are unable to transfer funds to the financial institution account registered by a JAMSHOPPING Partner, we will notify that fact. If the account information is not updated for one year even after we have notified the Partner, we will be exempt from the obligation to pay, and the Partner will be deemed to have waived its right to claim commission. The Partner agrees to the provisions of this section in advance.
6. If a Merchant delays payment of the commission to the Company, the Company may withhold payment of the commission to the JAMSHOPPING Partner. In addition, if a Merchant does not pay the commission to the Company, the Company may withhold payment of the commission to the JAMSHOPPING Partner or may not be able to pay the commission.
Article 8 (Taxes and Fees)
1. Regarding the tax treatment of performance-based compensation, JAMSHOPPING Partners shall make payment procedures at the tax office or other relevant authority that has jurisdiction in accordance with the provisions of tax laws and other regulations.
2. Any expenses incurred by JAMSHOPPING Partners through their use of this Service shall be borne by the JAMSHOPPING Partners.
Article 9 (Monitoring)
1. We will, at our discretion, monitor whether JAMSHOPPING Partners are using the Service in accordance with these Terms.
2. Our company reserves the right to refuse to pay all or part of the commission to any JAMSHOPPING Partner that it determines, as a result of such monitoring, is engaged in, or is likely to be engaged in, any illegal or fraudulent conduct that violates these Terms of Use or any laws and regulations.
3. Our company reserves the right to cancel the registration of any JAMSHOPPING Partner who is found to have committed a violation as a result of monitoring, without any notice to that Partner. If a Merchant or our company suffers damages due to a JAMSHOPPING Partner's violation, our company may claim compensation for such damages from the JAMSHOPPING Partner, and may take measures such as filing criminal charges if the violation is deemed to be malicious.
Article 10 (Maintenance of the Service)
Maintenance of the Service will be carried out on a regular or irregular basis. JAMSHOPPING Partners will not raise any objections or file any claims for damages regarding the suspension of the Service during the maintenance period. If the Company deems it necessary, the Company will notify JAMSHOPPING Partners in advance.
Article 11 (Notifications, Reports, and Changes by JAMSHOPPING Partners)
1. If a JAMSHOPPING Partner makes any changes to the content of the JAMSHOPPING Partner Site, or if the JAMSHOPPING Partner Site becomes inaccessible, the JAMSHOPPING Partner must immediately register the changes on the administration screen.
2. JAMSHOPPING Partners must not cause either themselves or the JAMSHOPPING Partner Site to fall under any of the items of Article 4, Paragraph 3 or 4.
3. If a JAMSHOPPING Partner encounters any hindrance to the provision of the Service or discovers a problem with the Service, the Partner shall immediately report this to the Company.
4. If there is any change in the registration information for this Service, JAMSHOPPING Partners must immediately change the registration information. Any troubles arising from a JAMSHOPPING Partner's failure to change the registration information shall be handled at the JAMSHOPPING Partner's responsibility and expense, and the Company shall not be liable for such troubles.
Article 12 (ID and Password Management)
1. JAMSHOPPING Partners shall be solely responsible for the use and management of the IDs and passwords provided by our company.
2. JAMSHOPPING Partners may not allow a third party to use their IDs and passwords, nor may they lend, transfer, or use them as security.
3. When this service is used with an ID and password provided to a JAMSHOPPING Partner, even if it is use by a third party, it will be deemed to be use by the JAMSHOPPING Partner, and the JAMSHOPPING Partner will be responsible for such use regardless of the reason.
Article 13 (Compliance with laws and regulations regarding advertising)
1. Copyright Copyright is the right of an author to exclusively reproduce, translate, adapt, and otherwise use a work from the time of its creation until 50 years after the author's death. Therefore, reproducing, translating, adapting, and otherwise using a work without the author's permission is, in principle, copyright infringement. JAMSHOPPING Partners must not infringe on the copyrights of our company or third parties or engage in other illegal activities on JAMSHOPPING Partner Sites.
2. Act on Ensuring Quality, Efficacy and Safety of Pharmaceuticals, Medical Devices, etc. (hereinafter referred to as the "Pharmaceutical and Medical Device Act") JAMSHOPPING Partners shall not advertise, write or distribute any false, exaggerated or misleading articles, whether express or implied, regarding the names, manufacturing methods, efficacy, effectiveness or performance of pharmaceuticals, quasi-drugs, cosmetics or medical devices. In addition to the preceding paragraph, so-called health foods and diet foods, etc. shall not advertise, write or distribute any false, exaggerated or misleading articles, whether express or implied, and shall comply with the Pharmaceutical and Medical Device Act.
3. Act against Unfair Premiums and Misrepresentations (hereinafter referred to as the "Premiums and Misrepresentations Act") JAMSHOPPING Partners shall recognize that quality, price, etc. are important criteria for consumers, including Visitors, when selecting products and services, and shall display such information correctly and clearly. In particular, they shall pay attention to misleading representations of superiority (misrepresentations regarding the quality, specifications, and other contents of products and services), misleading representations of advantage (misrepresentations regarding the price and other transaction terms of products and services), and other misrepresentations designated by the Prime Minister as likely to mislead general consumers. JAMSHOPPING Partners shall be fully aware that misrepresentations that violate the Premiums and Misrepresentations Act may be subject to a corrective order under the Premiums and Misrepresentations Act, even if JAMSHOPPING Partners have not acted with intent or negligence.
4. Other Related Laws JAMSHOPPING Partners will comply with the Act on Specified Commercial Transactions, Medical Care Act, Money Lending Business Act, Health Promotion Act, Trademark Act, Unfair Competition Prevention Act, and other laws and regulations that regulate advertising, and will not engage in any acts that unfairly attract Visitors, etc., acts that do not protect the interests of Visitors, etc., or acts that mislead Visitors, etc. about the effectiveness of their products through exaggerated representations.
5. If a JAMSHOPPING Partner causes damage to the Company due to a reason falling under this article, the JAMSHOPPING Partner shall compensate for such damage. Furthermore, if a dispute arises between the JAMSHOPPING Partner and a third party due to such a reason, the JAMSHOPPING Partner shall resolve the dispute at its own expense and responsibility and shall not cause any inconvenience to the Company.
Article 14 (Prohibited matters)
1. JAMSHOPPING Partners shall not enter into advertising agreements directly with merchants or encourage them to do so without obtaining our prior consent and without going through our company, for purposes that are detrimental to our company. The provisions of this section shall remain in effect even after the cancellation of a JAMSHOPPING Partner's registration, except for the following merchants: Merchants who have joined the Service through the introduction of a JAMSHOPPING Partner Merchants who have introduced the Service to a JAMSHOPPING Partner and encouraged them to participate
2. If a JAMSHOPPING Partner violates the provisions of the preceding paragraph and enters into an advertising agreement directly with a merchant by circumventing this service, the Partner shall pay a penalty of 1 million yen to the Company.
3. Any actions that are not in keeping with the intentions of the merchant or the purpose of this service, such as expressions that force, plead, or request visitors to click solely in order to receive JAMSHOPPING Partner's performance-based rewards, explanations that the advertisement uses an affiliate system, or descriptions of performance-based reward amounts, are prohibited. However, this does not apply to descriptions such as testimonials for JAMSHOPPING merchant sites.
4. JAMSHOPPING Partners shall not engage in any act of fictitious or intentionally inflating the number of results by fraudulent means or for improper purposes in order for themselves or their related parties to earn results rewards.
5. JAMSHOPPING Partners shall not, upon request from a third party, perform any action that would result in the payment of commission, such as placing an order or registering on behalf of a third party.
6. JAMSHOPPING Partners must not modify the link code for displaying advertisements distributed by our company or have a third party modify it if any of the following items apply. If none of the following items apply, our company will permit JAMSHOPPING Partners to modify the link code, but if this causes problems in reflecting results, JAMSHOPPING Partners will be responsible. If the merchant prohibits the use of any link code other than that distributed by our company for displaying advertisements If the advertising wording of image banners, text advertisements, etc. is changed as a result of modifying the link code If information about the advertising site is intentionally concealed If any other case that our company deems inappropriate
7. Because partnerships with merchants are approved taking into consideration the attributes of each individual advertisement (affiliate program) and the JAMSHOPPING partner site, JAMSHOPPING partners must use link codes for displaying advertisements distributed by our company only on the registered JAMSHOPPING partner site, and must not use them on other sites that have not been approved for partnership.
8. Because JAMSHOPPING Partners do not have a contractual relationship with Merchants, they may not make any inquiries or contact Merchants directly for any other purpose without going through our company, for any reason whatsoever (including, without limitation, confirmation of the terms of performance or reasons for judging the results) in connection with the Service.
9. JAMSHOPPING Partners shall not engage in advertising activities that constitute a nuisance to third parties, such as spam emails, distribution using SNS, or posting on message boards, or any other methods or means.
10. If a Merchant prohibits JAMSHOPPING Partners from attracting customers (leading to their site) through listing ads, the Partner shall not place listing ads using the Merchant's name, product/service names, or keywords designated by the Merchant, unless the Merchant's prior approval has been obtained. Furthermore, if the Merchant or a third party suffers any disadvantage or damage as a result of the listing ads using such keywords, the JAMSHOPPING Partner shall bear all responsibility therefor.
Article 15 (Cancellation of Registration)
1. If any of the following events occur, the Company may cancel the registration of a JAMSHOPPING Partner by notifying the JAMSHOPPING Partner without any demand for correction, etc. If a JAMSHOPPING Partner's registration is cancelled, the partnership with the Merchant will automatically terminate.
Furthermore, even if a JAMSHOPPING partner or a third party suffers disadvantage or damage as a result of the cancellation of registration procedure, we shall not be liable for any reason.
If it is discovered that there is false information in the registration information for this service If the case falls under any of the items of Article 4, Paragraph 3 or Paragraph 4 If a person fails to notify us, causing disruption to the operation and management of this service If our company is unable to contact a JAMSHOPPING partner, causing disruption to the operation and management of this service If a JAMSHOPPING partner violates these terms and conditions and does not improve despite a request for correction If it is deemed that it is impossible to provide this service due to the JAMSHOPPING partner's dishonest or untrustworthy conduct If a JAMSHOPPING partner has not logged into the administration screen for over a year, or if no advertisement has ever been delivered or clicked on If we otherwise determine that the person is not suitable to be a JAMSHOPPING partner
2. In the event that registration is cancelled pursuant to the provisions of the preceding paragraph, the Company shall not pay to the JAMSHOPPING Partner any outstanding performance fees at the time of cancellation. Furthermore, in the event that this article applies, the Company may at any time claim from the JAMSHOPPING Partner any already paid performance fees, any investigation costs related to the preceding paragraph, and any litigation costs, etc.
Article 16 (Termination of Partnership)
1. If the contract between our company and the merchant is terminated, the partnership between the merchant and the JAMSHOPPING partner will also end. Our company will promptly notify the JAMSHOPPING partner.
2. If a Merchant requests to terminate its partnership with a JAMSHOPPING Partner, the Company shall promptly notify the JAMSHOPPING Partner, and the partnership shall be terminated upon such notice.
3. After the Partnership is terminated pursuant to the provisions of this Article, the performance-based compensation until the termination of the Partnership shall be in accordance with the provisions of Article 7.
Article 17 (Cancellation by JAMSHOPPING Partner)
1. JAMSHOPPING Partners may cancel their membership to the Service at any time.
2. When a JAMSHOPPING Partner completes the withdrawal procedure, the registration for this service will be cancelled. In addition, even if a partnership between a JAMSHOPPING Partner and a merchant was in progress at the time of withdrawal, it will be automatically terminated.
Article 18 (Handling of performance-based rewards upon withdrawal)
1. When a JAMSHOPPING Partner withdraws from the Service, the amount of unpaid commission up to the end of the month prior to the withdrawal shall be subject to payment. If the amount of unpaid commission as of the end of the month prior to the withdrawal is less than 1,000 yen, the JAMSHOPPING Partner shall waive the right to claim commission and agree not to receive such payment.
2. If it is not possible to transfer funds to the financial institution account registered by the JAMSHOPPING Partner at the time of withdrawal, the Company shall be exempt from the obligation to make such payment, and the JAMSHOPPING Partner shall agree in advance to the provisions of this paragraph.
Article 19 (Handling of Personal Information, etc.)
1. Our company will comply with a separately stipulated privacy policy in handling personal information acquired by our company through the provision of the Service (information about living individuals that can identify the individual by name, date of birth and other descriptions, voice and actions, etc. contained in the information (including information that can be easily compared with other information and thereby identify a specific individual), as well as information that contains a personal identification code (letters, numbers, symbols and other codes converted for use in a computer that can identify the specific individual and that can identify a specific user, purchaser or recipient of issuance)).
2. In order to prevent fraudulent activities in affiliate services, we will share and jointly use information about any JAMSHOPPING Partner who has engaged in fraudulent activities (the JAMSHOPPING Partner's name, registered site information, email address, and registered financial institution account) with the Japan Affiliate Service Association and its member companies. JAMSHOPPING Partners agree to the provisions of this section in advance.
3. Our company may disclose JAMSHOPPING Partner registration information and transaction data obtained through the operation of individual advertisements (affiliate programs) in the following cases: When there is an ordered investigation by a court, police, tax office, or other administrative agency When disclosure is required for the operation of this service to merchants of individual advertisements (affiliate programs) (only when a non-disclosure agreement has been concluded with the merchant)
4. We may use or disclose statistical information about JAMSHOPPING Partners that does not identify specific individuals.
Article 20 (Handling of Action History Information)
1. We will collect action history information as necessary for the operation of this service. The action history information we collect is information that cannot identify a specific individual, and we will use the action history information to improve the convenience of this service and to analyze this information and use it as statistical information, etc.
2. The behavioral history information acquired by our company is information that cannot be used to identify individuals even when combined, such as the URL and time of the page viewed, advertisement display and click history, and IP address, and is acquired through "cookies" and "terminal information." Therefore, our behavioral history information is not linked to personally identifiable information such as "personal information," and therefore does not fall under the category of anonymously processed information under the Personal Information Protection Act, but our company will handle it in accordance with this.
3. We may commission the analysis of behavioral history information from advertisers and advertising agencies who use the Service, or from third parties such as our business partners that are not directly related to the Service (hereinafter referred to as "Advertisers, etc."), analyze and interpret the behavioral history information to the extent necessary for such business, and provide the analysis results. In addition, we may disclose the results of analysis, such as the compilation of the behavioral history information, to JAMSHOPPING Partners as information that we recognize as useful to JAMSHOPPING Partners. Note that when providing or disclosing the results of analysis of behavioral history information to Advertisers, etc. or JAMSHOPPING Partners, Advertisers, etc. or JAMSHOPPING Partners will not be identified.
Article 21 (Confidentiality)
JAMSHOPPING Partners shall not disclose or leak to any third party any technical, business, sales or other information of the Company or Merchants that they learn in connection with the Service that can be objectively recognized as confidential. The same applies even after the cancellation of the JAMSHOPPING Partner's registration. However, this does not include information that is publicly known.
Article 22 (Intellectual Property Rights)
The copyrights, trademarks, and other intellectual property rights in this service belong to the rights holders, such as our company or merchants. JAMSHOPPING Partners shall use all or part of the affiliate system and content provided by our company only within the scope of the permission of our company and merchants, and shall not reproduce, copy, publish, broadcast, publicly transmit, or otherwise infringe copyrights beyond the scope of the permission, nor shall they allow a third party to do so.
Article 23 (Suspension, Change, Modification, Addition, Deletion of Service)
The Company reserves the right to suspend, change, modify, add, or delete the Service at any time. If the Company deems it necessary, the Company will notify or contact the User in advance.
Article 24 (Contact)
1. The Company will notify or contact JAMSHOPPING Partners by email or by posting on the website of the Service.
2. When the Company notifies or contacts a JAMSHOPPING Partner by email, the email will be deemed to have reached the JAMSHOPPING Partner on the day the email was sent from the Company.
3. If a JAMSHOPPING Partner changes the email address or telephone number that it has notified the Company, the Partner must immediately change the registered information. The Company shall not be held liable if a notice or communication from the Company does not reach the JAMSHOPPING Partner due to the Partner's failure to make the changes.
Article 25 (Disclaimer)
We shall not be liable for any damages incurred by JAMSHOPPING Partners as a result of this service, except in cases where such damages are due to our intentional or gross negligence.
Article 26 (Liability for compensation)
1. If a JAMSHOPPING Partner causes damage to us or a merchant, the Partner shall compensate for such damage.
2. If any trouble occurs between a JAMSHOPPING Partner and a third party, the JAMSHOPPING Partner shall resolve it at its own responsibility and expense, and if such trouble causes damage to our company, the JAMSHOPPING Partner shall compensate for such damage.
Article 27 (Prohibition of Transfer of Rights, etc.)
JAMSHOPPING Partners may not transfer or pledge any part or all of the rights set forth in these Terms of Use to a third party, or allow a third party to use them, without our prior consent.
Article 28 (Force majeure)
The Company shall not be liable for any failure or delay in the performance of all or part of the Service due to other causes beyond the reasonable control of the Company, including, but not limited to, acts of God, fire, earthquake, strikes, floods, storms, epidemics, riots, terrorism, acts of war, government actions, or interruptions or inability to use communication services or the Internet environment.
Article 29 (Non-guarantee of advertising information)
The information about merchants and the advertising content of their products and services that is provided to JAMSHOPPING Partners through the Service is information that the Company is able to provide at the time, and the Company does not guarantee its completeness, accuracy or usefulness in the future, and the Company shall not be liable for the results of advertising activities by JAMSHOPPING Partners using the Service.
Article 30 (Provisions regarding anti-social forces)
1. JAMSHOPPING Partners represent and warrant that they do not fall under any of the following items, and agree that if it is discovered that they have made a false statement regarding this representation and warranty, the registration cancellation procedure will be carried out in this Service, and that JAMSHOPPING Partners will be solely responsible for any damages incurred by JAMSHOPPING Partners or the organizations to which JAMSHOPPING Partners belong. During the period of use of this Service, JAMSHOPPING Partners represent that they do not fall under any of the following items, and warrant that they will not fall under any of the following items in the future.
(1) Organized crime
(2) Member of a criminal organization
(3) A person who has not yet passed five years since he or she ceased to be a member of an organized crime group.
(4) Associate member of an organized crime group
(5) Companies with ties to organized crime groups
(6) Corporate racketeers, fraudsters pretending to be social activists, or special intelligence violent groups, etc.
(7) Any person who falls under any of the above items (hereinafter referred to as "members of organized crime groups, etc."). During the period of use of the Service, JAMSHOPPING Partners represent that they are not persons who fall under any of the following categories, and promise that they will not fall under any of the following categories in the future.
(1) Having a relationship that is deemed to give the control of management to a gang member or other such person
(2) Having a relationship that is deemed to give a substantial involvement of a gang member or other such person in the management of the company.
(3) Having a relationship that is deemed to be an inappropriate use of a gang member, etc., for the purpose of obtaining wrongful benefits for oneself, one's company, or a third party, or for the purpose of causing damage to a third party. (4) Having a relationship that is deemed to be involved in providing funds, etc., or convenience to a gang member, etc.
(5) Any officer or person substantially involved in management having a relationship with a member of an organized crime group or the like that can be socially criticized. JAMSHOPPING Partners undertake not to engage in any of the following acts, either themselves or through a third party:
(1) Violent demands
(2) Unreasonable demands that go beyond legal responsibility
(3) Using threatening language or violence in relation to transactions
(4) Spreading false rumours, using fraudulent means or using force to damage the company's credibility or to interfere with the company's business
(5) Any other acts equivalent to those mentioned above.
2. If the registration cancellation procedure is carried out pursuant to the provisions of the preceding paragraph, the JAMSHOPPING Partner shall not be able to make any claim against the Company for damages arising from said registration cancellation.
Article 31 (Effectiveness of these Terms)
These terms and conditions shall come into effect on the date on which a JAMSHOPPING Partner agrees to these terms and conditions and applies for registration.
Article 32 (Changes and Revisions to the Terms)
1. These terms and conditions may be changed or revised at any time at our discretion without the consent of JAMSHOPPING partners.
2. Unless otherwise specified, the revised terms and conditions mentioned above will come into effect when they are posted on the web page of the Service, and will apply to all relationships between JAMSHOPPING Partners and our company.
Article 33 (Governing Law)
These Terms and Conditions and the relationship between JAMSHOPPING Partners and our company shall be governed by and applied in accordance with the laws of Japan.
Article 34 (agreed jurisdiction)
If a lawsuit arises between a JAMSHOPPING partner and our company regarding these Terms and Conditions, the Tokyo District Court or the Tokyo Summary Court shall be the agreed court of first instance with jurisdiction, depending on the amount of the claim.
Article 35 (Severability)
Even if any provision or part of any provision of these Terms is determined to be invalid or unenforceable pursuant to laws and regulations, the remaining provisions of these Terms and the remaining part of the provision that is determined to be invalid or unenforceable shall continue in full force and effect.
Article 36 (Agenda matters)
If any matter not specified in these Terms and Conditions or any doubt arises regarding the interpretation of these Terms and Conditions, the matter shall be resolved through discussion in good faith between the JAMSHOPPING Partner and our company.
